These terms apply to your use of www.foxd.io, the foxd.io dashboard and the services provided by Foxd Inc. ("foxd.io", "we", "us"). By using our website or services, you agree to these terms. If you do not agree, do not use them. Customers accept these terms when they sign up for a dashboard account or sign a written agreement with us.
Our Services
We provide website design and hosting, analytics, SEO monitoring, e-commerce, contact forms and related services. The scope, price and schedule of the work we do for you are set out in a quote, invoice or other written agreement. If that agreement conflicts with these terms, the agreement applies.
Your Account
You are responsible for keeping your dashboard login details safe and for all activity on your account. Do not share your login with others. Invite them as users of your account instead. Tell us immediately if you think someone else has access to your account.
Acceptable Use
You agree not to use our services to:
- Break any law or the rights of others.
- Publish content that is illegal, fraudulent, abusive or infringes copyright or trademarks.
- Send spam or distribute malware.
- Attempt to get unauthorized access to our systems, or interfere with how they work.
- Use an unreasonable amount of storage, bandwidth or computing resources, or do anything that disrupts the service for other customers.
We can suspend or remove content or services that break these rules.
Your Content
You keep ownership of the content you give us, such as text, images, logos and product details. You give us permission to use that content only to provide our services to you. You confirm that you have the right to use the content you give us.
If your website collects personal information from its visitors, through analytics, contact forms or an online store, you are responsible for collecting it lawfully. This includes telling visitors how you use it, for example in your own privacy policy, and getting any consent the law requires. We process that data for you, following your instructions, as our Privacy Policy describes. If you need a data processing agreement, contact us.
Ownership
- Your materials. The logos, images, text and business information you give us stay yours.
- Project deliverables. When you have paid in full, you own the custom designs and other deliverables that your quote or agreement names as made for you.
- foxd.io technology. We keep ownership of everything else, including our dashboard, analytics, contact forms, e-commerce and SEO tools, hosting infrastructure, and the reusable code, components, templates and integrations we use across customers. This is true even when we build or improve them while working on your project.
If your deliverables include foxd.io technology, we give you a non-exclusive, non-transferable licence to use it with your website while your services are active. If you leave, we give you a copy of your website files to host elsewhere. Features that run on our platform, such as analytics, contact forms, online stores and the dashboard, stop working when your services end.
Payment
You agree to pay the fees in your quote or invoice by the due date. Prices do not include taxes. We add applicable taxes, such as HST, to your invoice.
Recurring services, such as hosting and monitoring, are billed in advance for each monthly or annual period, as your quote says. They renew automatically at the end of each period until you cancel. We will tell you at least 30 days before a price change takes effect.
If a payment is more than 14 days late, we will remind you, and we can then suspend services until the account is paid. Unless your agreement says otherwise, fees already paid are not refundable, including for the unused part of a billing period.
Domain Names
Domain names we register for you are yours. If you leave, we will help you transfer them to you or to another provider, once your account is paid. Cancelling hosting does not cancel your domain or give us ownership of it.
Third-Party Services
Some features depend on third parties, such as Google Cloud for hosting, Stripe for payments, Google Business Profile, Facebook, Instagram and domain registrars. Their own terms apply to your use of those services. We are not responsible for their outages, changes or price increases, though we will tell you if one changes what we can provide or what it costs you.
When you connect a Google or Facebook account, you confirm that you are allowed to manage the business listings and Pages you connect, and you authorize us to access them for you as described in our Privacy Policy. If a platform changes or limits its API, the related features can stop working.
Availability
We work to keep our services available and fast, but we do not guarantee that they will always be available or free of errors. We can change, update or stop parts of our services. When a change has a significant effect on customers, we will try to tell them in advance, but we can make urgent changes for security or legal reasons without notice.
Disclaimer
Except as stated in a written agreement, we provide our website and services "as is" and "as available", without warranties of any kind, to the extent the law allows. We do not guarantee any specific search ranking, traffic or sales.
Limitation of Liability
To the extent the law allows, we are not liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim is limited to the amount you paid us, in the 12 months before the claim, for the service that the claim is about. Nothing in these terms limits liability that the law does not allow us to limit.
Ending Services
You can cancel a service at any time by telling us in writing, for example by email. The cancellation takes effect at the end of the current billing period, and the service keeps working until then.
We can end or suspend services if you break these terms or do not pay. We can also end a service for any other reason with 30 days' notice. If we do, we will refund the prepaid fees for the time after it ends.
When services end, you have 30 days to ask for a copy of your website files, contact messages, product data and analytics. After that, we delete your data as our Privacy Policy describes.
Governing Law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada. You and we agree that the courts of Ontario have exclusive jurisdiction over any dispute about these terms or our services.
Changes to These Terms
We can change these terms from time to time. When we do, we update the date at the top of this page and keep a copy of the earlier version. We tell customers about important changes by email at least 30 days before they take effect. If you continue to use our services after a change takes effect, you accept the new terms.
